Terms of Service

The Service is offered as a software-as-a-service subscription on monthly or annual billing cycles. Subscriptions renew automatically at the end of each billing period at the then-current price until canceled. You may upgrade, downgrade, or cancel your plan at any time from your account settings; changes take effect at the end of the current billing period unless stated otherwise.

Free trials, if offered, convert into a paid subscription unless canceled before the trial ends. Feature limits, seat counts, and usage quotas are defined on the pricing page and may change with reasonable notice.

Our payment processor and reseller is Paddle.com Market Limited ("Paddle"), which acts as the Merchant of Record for all purchases made through the Service. Paddle handles the transaction, applicable sales tax, VAT, GST and other indirect taxes, invoicing, chargebacks, and payment-related compliance.

When you purchase a subscription, your contract for payment is with Paddle, while your contract for use of the Service is with SellPilot AI. Paddle's terms and privacy policy also apply to the payment transaction. Prices are shown in your local currency where supported and may include taxes based on your billing location.

You agree not to, and not to allow any third party to:

• Use the Service for anything unlawful, fraudulent, deceptive, or harmful.
• Infringe the intellectual property, privacy, or other rights of any person.
• Attempt to reverse engineer, decompile, or circumvent security or rate limits.
• Upload malware, scrape the Service, or interfere with its operation.
• Resell, sublicense, or provide the Service to third parties without a written agreement.
• Use the Service to generate spam, misleading listings, or content that violates any connected marketplace's policies (including Etsy, Shopify, Amazon, eBay, and TikTok Shop).

You may cancel your account at any time. We may suspend or terminate your account, with or without notice, if we reasonably believe you have violated these Terms, created security or legal risk for the Service or other users, or if required by law. Upon termination your right to access the Service ends, and we may delete your content in accordance with our data retention practices described in the Privacy Policy. Sections that by their nature should survive termination (payment, IP, liability, indemnity, governing law) will continue to apply.

The Service, including software, design, trademarks, models, and content we provide, is owned by SellPilot AI or its licensors and is protected by intellectual property laws. We grant you a limited, non-exclusive, non-transferable, revocable license to use the Service in accordance with these Terms.

You retain all rights to the content you upload, connect, or generate through the Service ("Your Content"). You grant us a limited license to host, process, and display Your Content solely to operate and improve the Service for you. You are responsible for ensuring you have the rights to Your Content and for compliance with third-party marketplace terms.

The Service integrates with third-party platforms (such as Etsy, Shopify, Amazon, eBay, TikTok Shop, and payment providers). Your use of those services is subject to their own terms. We are not responsible for third-party service availability, accuracy, or actions. API changes or account restrictions imposed by those platforms may affect functionality without notice.

The Service uses AI models to generate suggestions, listings, images, and analytics. AI output can be inaccurate or incomplete; you are responsible for reviewing and verifying any AI-generated content before publishing or acting on it. We do not guarantee sales results, ranking improvements, or specific business outcomes.

The Service is provided "AS IS" and "AS AVAILABLE" without warranties of any kind, whether express or implied, including merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or secure.

To the maximum extent permitted by law, SellPilot AI and its affiliates, officers, employees, and agents shall not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, including loss of profits, revenue, data, goodwill, or business opportunities, arising out of or related to your use of the Service, even if advised of the possibility of such damages.

Our total aggregate liability for any claim arising out of or relating to these Terms or the Service shall not exceed the greater of (a) the amount you paid to us (or Paddle on our behalf) for the Service in the twelve (12) months preceding the event giving rise to the claim, or (b) USD 100.

You agree to defend, indemnify, and hold harmless SellPilot AI from any claims, damages, liabilities, and expenses (including reasonable legal fees) arising from your use of the Service, Your Content, or your violation of these Terms or any law or third-party right.

We may modify the Service or these Terms at any time. Material changes will be communicated through the Service or by email. Continued use after changes take effect constitutes acceptance of the updated Terms.

These Terms are governed by the laws of the jurisdiction in which SellPilot AI operates, without regard to conflict-of-law principles. Disputes shall be resolved in the competent courts of that jurisdiction, except where mandatory consumer protection laws in your country of residence provide otherwise.
